§ 1 Firma und Sitz

§ 2 Gegenstand des Unternehmens

Section 2 Object of the Company

(1) Gegenstand des Unternehmens ist die Entwicklung und der Vertrieb von Softwarelösungen sowie die Erbringung damit verbundener Beratungsleistungen.

(1) The object of the Company is the development and distribution of software solutions and the provision of related consulting services.

(2) Die Gesellschaft ist zu allen Geschäften und Maßnahmen berechtigt, die dem Gegenstand des Unternehmens unmittelbar oder mittelbar zu dienen geeignet sind.

(2) The Company is entitled to undertake all transactions and measures which are suitable to serve the object of the Company directly or indirectly.

§ 3 Stammkapital

Section 3 Share Capital

(1) Das Stammkapital der Gesellschaft beträgt EUR 25.000,00 (in Worten: Euro fünfundzwanzigtausend).

(1) The share capital of the Company amounts to EUR 25,000.00 (in words: twenty-five thousand euros).

(2) Hiervon übernimmt die Gesellschafterin Thameside Holdings Ltd. mit Sitz in London, Vereinigtes Königreich, einen Geschäftsanteil im Nennbetrag von EUR 25.000,00 (Geschäftsanteil Nr. 1).

(2) Of this amount, the shareholder Thameside Holdings Ltd., with its registered office in London, United Kingdom, subscribes for one share with a nominal value of EUR 25,000.00 (share no. 1).

(3) Die Einlage ist in voller Höhe in bar zu erbringen und sofort zur Zahlung fällig.

(3) The contribution shall be paid in full in cash and is due for payment immediately.

§ 4 Geschäftsführung und Vertretung

Section 4 Management and Representation

(1) Die Gesellschaft hat einen oder mehrere Geschäftsführer.

(1) The Company shall have one or more managing directors.

(2) Ist nur ein Geschäftsführer bestellt, so vertritt er die Gesellschaft allein. Sind mehrere Geschäftsführer bestellt, so wird die Gesellschaft durch zwei Geschäftsführer gemeinschaftlich oder durch einen Geschäftsführer gemeinsam mit einem Prokuristen vertreten.

(2) If only one managing director has been appointed, he or she shall represent the Company alone. If several managing directors have been appointed, the Company shall be represented by two managing directors jointly or by one managing director together with an authorised signatory (Prokurist).

§ 1 Grundbuchstand

Section 1 Land Register Status

(1) Im Wohnungsgrundbuch des Amtsgerichts Charlottenburg von Charlottenburg Blatt 48213 ist folgendes Wohnungseigentum eingetragen: 92,50/1.000 Miteigentumsanteil an dem Grundstück Gemarkung Charlottenburg, Flur 7, Flurstück 214, Gebäude- und Freifläche, Beispielallee 17, 10627 Berlin, verbunden mit dem Sondereigentum an der Wohnung im 3. Obergeschoss links, im Aufteilungsplan mit Nr. 9 bezeichnet.

(1) The following condominium is registered in the condominium land register of the Local Court of Charlottenburg for Charlottenburg, folio 48213: a 92.50/1,000 co-ownership share in the plot of land in the cadastral district of Charlottenburg, parcel 7, plot 214, building and open space, Beispielallee 17, 10627 Berlin, combined with the separate ownership of the flat on the third floor, left, designated as no. 9 in the division plan.

(2) In Abteilung II und III des Grundbuchs sind keine Belastungen eingetragen.

(2) No encumbrances are registered in Sections II and III of the land register.

§ 2 Verkauf

Section 2 Sale

Der Verkäufer verkauft der Käuferin das in § 1 bezeichnete Wohnungseigentum mit allen Rechten, Pflichten und gesetzlichen Bestandteilen sowie dem Anteil an der Erhaltungsrücklage.

The Seller hereby sells to the Buyer the condominium described in Section 1 together with all rights, obligations and statutory components as well as the share in the maintenance reserve.

§ 3 Kaufpreis und Fälligkeit

Section 3 Purchase Price and Due Date

(1) Der Kaufpreis beträgt EUR 485.000,00 (in Worten: Euro vierhundertfünfundachtzigtausend).

(1) The purchase price amounts to EUR 485,000.00 (in words: four hundred and eighty-five thousand euros).

(2) Der Kaufpreis ist fällig innerhalb von 14 Tagen nach Zugang der schriftlichen Mitteilung des Notars, dass die Auflassungsvormerkung zugunsten der Käuferin im Grundbuch eingetragen ist.

(2) The purchase price shall be due within 14 days of receipt of the notary’s written notice that the priority notice of conveyance in favour of the Buyer has been entered in the land register.

§ 4 Besitzübergang

Section 4 Transfer of Possession

Besitz, Nutzungen und Lasten gehen mit vollständiger Zahlung des Kaufpreises auf die Käuferin über.

Possession, benefits and burdens shall pass to the Buyer upon payment of the purchase price in full.
